Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Portivo Estate Suite platform (the "Service"). By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you have authority to bind that organization.
1. The Service
Portivo Estate Suite provides software for property operations, including property and tenancy records, maintenance and work orders, vendor management, compliance tracking, document storage, a tenant portal, a vendor portal, data import, and integrations. Professional-plan features include arrears detection and reminders, investor reporting, and portfolio analytics. We may update, add, or remove features over time.
2. Accounts and roles
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Access is governed by role-based permissions (Viewer, Staff, Manager, Admin, and Owner). Organization administrators may invite members and provision tenant and vendor portal logins, and are responsible for the access they grant. You agree to provide accurate information and keep it up to date.
3. Acceptable use
- Do not use the Service for unlawful, infringing, or harmful purposes.
- Do not attempt to gain unauthorised access to other organizations' data.
- Do not interfere with or disrupt the integrity or performance of the Service.
- Do not upload malicious code or content you do not have the right to upload.
4. Customer data
You retain all rights to the data you upload ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the Service. Our handling of personal data is described in our Privacy Policy.
5. Subscriptions and fees
The Service is offered on Core and Professional plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe; by subscribing you authorise recurring charges to your payment method. Fees are non-refundable except where required by law. We may change pricing with reasonable prior notice; changes apply to the next billing cycle. Plan entitlements are enforced by the Service, and downgrading may remove access to plan-specific features and data.
6. Availability
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance and will use reasonable efforts to minimise disruption.
7. Intellectual property
The Service, including its software, design, and trademarks, is owned by Portivo Estate Suite and its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, to the maximum extent permitted by law. Portivo Estate Suite does not provide legal, financial, or compliance advice; you are responsible for verifying that your use meets your regulatory obligations.
9. Limitation of liability
To the maximum extent permitted by law, Portivo Estate Suite will not be liable for any indirect, incidental, or consequential damages, and our total liability under these Terms will not exceed the fees you paid in the 12 months preceding the claim.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. On termination, your right to use the Service ceases and we will handle Customer Data as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any disputes.
